Under the supervisory authority of Financial Services Agency ('FSA'), Japan overhauled its securities rules as the Financial Instruments and Exchange Act of 2007 ('FIEA') by renaming the Securities Exchange Act of 1948, consolidating 4 laws, and revising 89 laws.
This reform created the most comprehensive coverage of investment asset classes and enhanced the integrity and efficiency of the country's financial market.
March 2016 was the last major change in FIEA for entities including exempt, non-registered businesses, requiring them broader documentation, information disclosure, and a designated Japan contact person or agent.

What are your options for entering Japan?
Japan's revised FIEA (effective March 2016) preserved valuable options for entities wishing to enter Japan and operate as exempt, non-registered businesses called Specially Permitted Operators ('SPO').
This provision is particularly useful for foreign fund companies such as Private Equity ('PE'), Private Debt, Real Estate, Hedge Fund, and other Alternative Fund or private multi strategy managers. Two types of SPOs are:
